End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you ("User") and the developer of Quanty ("Provider"). By downloading, installing, or using the software, you agree to be bound by the terms of this EULA.

1. License Grant​

The Provider grants you a personal, non-exclusive, non-transferable, and revocable license to use this software on one or more of your devices, solely in accordance with the terms of this EULA.

2. Usage​

You may use the software for personal use or for professional purposes as a single individual user on your personal devices. This license is granted to a single user for use on their personal devices.

ORGANIZATIONAL USE: Use by companies, organizations, educational institutions, or other entities is PROHIBITED under this license. For organizational, multi-user, or enterprise deployments, you must obtain a separate commercial license by contacting thomas@quantyverse.com. Unauthorized organizational use constitutes a material breach of this agreement and may result in immediate termination of this license, legal action, and liability for damages.

3. Prohibited Actions​

You are strictly prohibited from:

  • selling, redistributing, leasing, or making the software publicly available, in whole or in part,
  • distributing the software under a different name or in modified form ("rebranding"),
  • copying the software except for personal backup purposes,
  • reverse engineering, decompiling, disassembling, or modifying the software, unless explicitly permitted by applicable law.

4. Ownership​

All copyrights, trademarks, and other intellectual property rights in the software remain the sole property of the Provider. This EULA does not transfer any rights to you other than the limited usage rights expressly granted herein.

5. Updates and Modifications​

The Provider reserves the right to update or modify the software at any time. This EULA also applies to future versions of the software unless accompanied by a separate agreement.

6. Support and Updates​

The Provider may provide updates, patches, or support services at their discretion. No guaranteed support levels or response times are provided with this license.

7. Data and Privacy​

The use of this software is also subject to the terms of the Quanty Privacy Policy, which is included with this software (PRIVACY_POLICY.md) and available at https://quantyverse.ai/privacy-policy. By using this software, you acknowledge that you have read, understood, and agree to the Privacy Policy.

8. Termination​

This EULA is effective until terminated. Your rights under this license will terminate automatically and without notice from the Provider if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the software and destroy all copies, full or partial, of the software.

9. Disclaimer of Warranty and Limitation of Liability​

The software is provided "AS IS", without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and noninfringement. This includes but is not limited to warranties regarding the accuracy, reliability, or appropriateness of AI-generated content. In no event shall the Provider be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of this software, even if advised of the possibility of such damage. The entire risk as to the quality and performance of the software, including AI-generated content, is with you.

10. Governing Law​

This agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11. AI-Generated Content and Usage​

The software is designed to work with LOCAL Ollama models running on your device. It may optionally integrate with third-party cloud AI services (Runware, MCP servers) that you explicitly configure. You are solely responsible for:

  • The appropriateness, legality, and ethical use of any generated content
  • Any copyright, intellectual property, or legal implications arising from generated content
  • The accuracy, reliability, and suitability of AI-generated outputs for your intended purposes
  • Compliance with applicable laws regarding AI-generated content in your jurisdiction
  • All data transmitted to and processed by MCP (Model Context Protocol) servers or other cloud services you configure
  • Your Ollama configuration, including any cloud models you may independently configure outside of Quanty's intended use

UNSUPPORTED USE: This software is NOT designed for and does NOT support Ollama cloud models. If you independently configure your Ollama installation to use cloud-hosted models, you do so entirely at your own risk and outside the intended functionality of this software. The Provider assumes NO responsibility or liability for data transmitted to Ollama cloud services through your independent configuration.

The Provider makes no warranties regarding the quality, accuracy, truthfulness, or suitability of AI-generated content. AI systems may produce inaccurate, biased, or inappropriate outputs. Generated content may be temporarily stored by third-party AI providers (such as Runware, Ollama cloud, MCP servers) for service optimization, typically for periods up to 30 days, as disclosed in their respective privacy policies. You indemnify the Provider against any claims arising from your use of cloud models, MCP servers, or any third-party AI services.

12. Severability​

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Amendments or modifications to this EULA must be made in writing.
